1. Introduction

Welcome to PlutusGPS ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the PlutusGPS platform, including our website, mobile applications, GPS tracking devices, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all users of the Services, including fleet managers, drivers, administrators, and any other individuals who access or use the Services.

2. Definitions

• "Account" means the user account created to access the PlutusGPS Services.
• "Devices" means GPS tracking hardware, sensors, and related equipment provided or supported by PlutusGPS.
• "Fleet" means the vehicles, assets, or equipment being tracked using the Services.
• "Location Data" means GPS coordinates, movement patterns, speed, and other geolocation information collected by the Services.
• "User" means any individual or entity that accesses or uses the Services.
• "Subscription" means the paid plan selected by the User for access to the Services.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Services, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password that you use to access the Services.

3.2 Account Security

You are responsible for all activities that occur under your Account. You agree to notify us immediately of any unauthorized access to or use of your Account. We reserve the right to disable any Account at any time if we believe you have violated these Terms.

3.3 Account Types

PlutusGPS offers different account types including Owner, Admin, Manager, and User roles. Each role has specific permissions and access levels. Account owners are responsible for managing user permissions within their organization.

4. Services Description

4.1 GPS Tracking Services

PlutusGPS provides real-time GPS tracking and fleet management services. Our Services include but are not limited to: real-time vehicle location tracking, historical route playback, geofencing and alerts, driver behavior monitoring, fuel consumption analysis, maintenance scheduling, and reporting tools.

4.2 Device Compatibility

The Services are designed to work with compatible GPS tracking devices. We support various device manufacturers and protocols. You are responsible for ensuring that your devices are compatible with our platform and properly installed in your vehicles.

4.3 Service Availability

We strive to maintain 99.9% uptime for our Services. However, the Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance in advance.

5. Subscription and Payment

5.1 Subscription Plans

Access to the Services requires a paid Subscription. We offer various subscription plans with different features and pricing. Details of available plans are provided on our website and may be updated from time to time.

5.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as expressly stated in these Terms. You authorize us to charge your designated payment method for all applicable fees.

5.3 Price Changes

We reserve the right to modify subscription fees upon 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing. You may cancel your Subscription before the price change takes effect.

5.4 Cancellation

You may cancel your Subscription at any time through your Account settings. Cancellation will be effective at the end of the current billing period. No refunds will be provided for partial billing periods.

6. User Responsibilities

6.1 Lawful Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including privacy and data protection laws.

6.2 Employee Notification

If you use the Services to track vehicles operated by employees or contractors, you are responsible for obtaining any required consents and providing appropriate notice to those individuals. You must comply with all applicable employment and privacy laws.

6.3 Prohibited Activities

You agree not to: (a) use the Services for any illegal purpose; (b) attempt to gain unauthorized access to the Services or related systems; (c) interfere with or disrupt the Services; (d) transmit viruses, malware, or other harmful code; (e) use the Services to harass, stalk, or harm any person; (f) resell or redistribute the Services without authorization; (g) reverse engineer or attempt to extract source code from the Services.

7. Data Ownership and Use

7.1 Your Data

You retain ownership of all data you submit to the Services, including vehicle information, driver data, and business information ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Services.

7.2 Location Data

Location Data collected through the Services is stored securely and used to provide tracking and analytics features. We may use anonymized and aggregated Location Data for service improvement and analytics purposes.

7.3 Data Retention

We retain Location Data and trip history for a period specified in your Subscription plan. After account termination, we will retain your data for 30 days before permanent deletion, allowing you time to export your data if needed.

8. Intellectual Property

8.1 Our Rights

The Services, including all content, features, and functionality, are owned by PlutusGPS and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Services without our prior written consent.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us the right to use such feedback without restriction or compensation to you.

9. Disclaimers and Limitations

9.1 Service Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 GPS Accuracy

GPS technology has inherent limitations. Location accuracy may be affected by environmental factors, device quality, cellular network coverage, and other conditions. We do not guarantee the accuracy of Location Data.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLUTUSGPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

9.4 Maximum Liability

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless PlutusGPS and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your failure to comply with applicable laws regarding employee tracking and monitoring.

11. Termination

11.1 Termination by You

You may terminate your Account at any time by contacting our support team or through your Account settings. Termination will be effective at the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay applicable fees, or engage in activities that may harm the Services or other users. We may also terminate the Services for any reason with 30 days' notice.

11.3 Effect of Termination

Upon termination, your right to use the Services will cease immediately. We will retain your data for 30 days to allow for data export. After this period, your data will be permanently deleted except where retention is required by law.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Ghana Arbitration Centre. The arbitration shall take place in Accra, Ghana.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PlutusGPS regarding the Services and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after the effective date of any modifications constitutes acceptance of the modified Terms.
